1. Acceptance of Terms

Welcome to CPD Wizard. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and CPD Wizard ("we", "us", "our") governing your use of our AI-powered CPD reflection generation service.

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance of the modified Terms.

2. Service Description

CPD Wizard provides an AI-powered tool that helps financial advisers create professional Continuing Professional Development (CPD) reflective statements.

Our service:

• Generates draft CPD reflections based on your input using artificial intelligence
• Processes uploaded documents to extract learning points
• Provides tools to edit, refine, and export your reflections
• Offers various subscription tiers with different usage limits

3. User Accounts

To use CPD Wizard, you must create an account through Replit Auth. By creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access
• Not share your account with others

You must be at least 18 years old and have the legal capacity to enter into these Terms to use our service.

4. Subscriptions and Payments

4.1 Subscription Plans

We offer a subscription plan at £1 for your first month, then £19/month. Details of current plans and pricing are available on our website.

4.2 Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.

4.3 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Prices are in British Pounds (GBP) and include VAT where applicable.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds are provided for partial billing periods
• Your account will lose access to reflection generation features

4.5 Refunds

Refunds are provided at our sole discretion. If you believe you are entitled to a refund, please contact us within 14 days of the charge.

4.6 Price Changes

We may modify our pricing with 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

5. Acceptable Use

You agree to use CPD Wizard only for lawful purposes and in accordance with these Terms. You must not:

• Use the service for any illegal or unauthorised purpose
• Submit false, misleading, or fabricated CPD activities
• Attempt to circumvent usage limits or access controls
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorised access to any part of the service
• Use the service to generate content that is defamatory, obscene, or harmful
• Resell, redistribute, or commercially exploit the service without authorisation
• Use automated tools or bots to access the service
• Submit content that infringes intellectual property rights

6. Intellectual Property

6.1 Our Intellectual Property

CPD Wizard, including its software, design, branding, and underlying technology, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our service.

6.2 Your Content

You retain ownership of the content you submit to CPD Wizard (your inputs and descriptions). By using our service, you grant us a limited licence to process your content for the purpose of providing the service.

6.3 Generated Content

AI-generated reflections produced by CPD Wizard are provided for your personal and professional use. You may use, edit, and submit these reflections as part of your CPD records. However, you acknowledge that:

• Similar outputs may be generated for other users with similar inputs
• The generated content does not constitute unique intellectual property
• You are responsible for ensuring outputs meet your professional requirements

7. Disclaimers

We specifically disclaim:

• Any warranty that the service will be uninterrupted, secure, or error-free
• Any warranty regarding the accuracy, completeness, or suitability of AI-generated content
• Any warranty that generated content will meet regulatory or professional standards
• Any responsibility for how you use or submit generated content

You acknowledge that:

• AI-generated content requires human review and editing
• You are solely responsible for the accuracy of your CPD records
• Our service does not constitute professional advice
• We are not responsible for regulatory compliance of your CPD submissions

8. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, data, business opportunities, or professional reputation
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

These limitations apply regardless of the legal theory under which liability is claimed.

9. Indemnification

You agree to indemnify, defend, and hold harmless CPD Wizard and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your submission of false or misleading CPD records
• Any claim that your content infringes third-party rights

10. Termination

We may suspend or terminate your access to the service at any time, with or without cause, including if:

• You violate these Terms
• You fail to pay subscription fees
• We discontinue the service
• We are required to do so by law

Upon termination:

• Your right to access the service ceases immediately
• We may delete your account and data after a reasonable period
• Provisions that by their nature should survive will remain in effect

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and CPD Wizard regarding the service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent.
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
